Terms and Conditions

These terms and conditions govern the access and use of individuals for all services provided by Taxa, a Saudi institution established in 2022 and headquartered in Riyadh. Please read the Terms and Conditions carefully. These Terms and Conditions include information about your rights and obligations and other important information in connection with your use of the Taxa application, and your agreement to obtain services provided by Taxa.

Definitions

Taxa: Service provider and link between users and public fare in the Kingdom of Saudi Arabia.

Application: The digital platform concerned with providing services to users and public fares.

Services: All services provided by Taxa.

Public fare: Transporting passengers by public taxi for a fee.

Wallet: All users have a separate wallet in the application, and they can add amounts to it and use them on their trips according to the method used by Taxa.

Pricing: The variable value of the trip amount.

General Terms of Use

By accessing and using the Services, you agree to be bound by these Terms and Conditions without exception, and if you do not agree to these Terms, you may not access or use the Services. Taxa may immediately terminate these Terms or any of the Services to you or generally cease offering or deny access to the Services or any part thereof at any time and for any reason.

Taxa may amend the Terms relating to the Services from time to time. Modifications will be effective upon posting of these updated Terms on this Site or posting of revised policies. Your continued access to or use of the Services after such posting constitutes your agreement to be bound by the Terms as amended.

We collect and use personal data in connection with the Services as set out in Taxa’s Privacy Policy which can be viewed on the privacy page of this website.

Services

Taxa provides a service to connect users with the public fare to coordinate and schedule transportation services through the application, and that Taxa does not provide transportation services, but rather it is provided through the public fare.

License

Subject to your compliance with these Terms, Taxa grants you access to the Application and Services and a revocable, limited, non-exclusive, non-licensable, non-transferable license for personal, non-commercial use. The license is terminated upon termination of use of the Services.

Restrictions

You may not: (i) remove any copyright, trademark, or other proprietary notices from any portion of the Services; or (ii) reproduce, modify, prepare derivative works from, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, broadcast, circulate, publish or otherwise exploit the Services except as expressly permitted by Taxa ; (iii) tamper with, reverse engineer or disassemble it except as permitted by applicable laws; (iv) link to, mirror, or frame any part of the Services; (v) create or cause the creation of any programs or scripts for the purpose of scraping, indexing, deleting or otherwise exploiting any part of the Services, or improperly overburdening or impairing the operation and/or functionality of any aspect of the Services; or (vi) attempt to gain unauthorized access to or damage any aspect of the Services or any related systems and networks.

Property

The Services and all rights relating thereto shall remain the sole property of Taxa. Neither these Terms nor your use of the Services grant you any rights in or in connection with the Services other than the limited license granted above; or to use or refer in any way to Taxa’s company names, logos, product and service names, trademarks or service marks.

Your use of the Services

In order to use most aspects of the Services, you must register for and maintain an active personal User Services account (“Account”). You must be at least 18 years old in order to obtain the account. Account registration requires providing certain personal information to Taxa such as your name, address, mobile phone number and age, as well as at least one valid payment method (either a credit card or an accepted payment partner). You agree to keep accurate, complete and up-to-date information in your account. Your failure to maintain accurate, complete and up-to-date information on your account, including designation of an invalid or expired payment method, may result in your inability to access or use the Services or Taxa’s termination of these Terms with you. You are responsible for all activities that occur under your account name, and you agree to keep your account username and password secure and confidential at all times. You may not have more than one Account unless Taxa allows you otherwise in writing.

User requirements and behaviour

The Services are not available for use by persons under the age of 18. You may not authorize the use of your account to third parties, nor may you allow persons under 18 years of age to obtain transportation services unless they are accompanied by you. You agree to comply with all applicable laws when using the Services and may only use them for lawful purposes (for example, not to transmit illegal or dangerous materials). You may not, in your use of the Services, cause harm, inconvenience, inconvenience, or damage to any of the users.

Mail and text messages

By creating an account, you agree that Taxa may send informational mail and text messages as part of the normal business course of your use of the Services. You have the right to refuse to receive text messages from Taxa at any time by sending a message to [email protected] stating that you do not wish to receive any more such messages. And acknowledge on your part that opting out of receiving text messages may affect your use of the Services.

Promotional codes

Promotional codes and offers policy applies to users, and Taxa may create promotional codes and offers. These promo codes are subject to any additional terms established on a per promo code and offer basis. The promo code or offer expires when applied to your account. It could end sooner as well. You can only apply one promo code per trip and it cannot be transferred to the next trip. The offer is applicable once during its validity period and Taxa may cancel any promotional code and offer at any time and for any reason without incurring any liability. This includes, but is not limited to, using codes in an illegal or fraudulent manner, such as being issued in error or expired.

Pricing

The fundamental service charges are subject to adjustments based on TGA regulations, tax rates, potential prior user fees, compensatory charges, peak time surcharges, Taxa discounts, and Taxa percentage fees. Taxa retains the authority to modify any relevant pricing terms periodically without prior notification to you.

Payment Terms

It is expressly acknowledged that the utilization of the Services may result in charges (“Fees”) being incurred by you. Subsequent to the receipt of Services through the Application, Taxa shall facilitate the settlement of the applicable fees, inclusive of any taxes as required by law. All fees remitted by you shall be deemed conclusive and non-refundable, unless explicitly stipulated otherwise by Taxa.

Immediate settlement of all fees is obligatory, and Taxa shall effectuate the payment employing your specified preferred payment method delineated in your account. Following such transaction, Taxa shall promptly dispatch a receipt to you via email. In the event that the primary payment method designated by you in your account is expired, invalid, or ineffectual for payment, you hereby consent to Taxa utilizing any secondary payment method available in your account.

In instances where a user cancels a trip, Taxa reserves the discretionary right to impose a cancellation fee.

Pursuant to the terms mutually agreed upon between you and Taxa, Taxa explicitly reserves the right to institute, annul, and/or modify charges for any or all Services procured through the Application at its sole and absolute discretion.

Repair or cleaning fees

You shall bear the responsibility for covering the expenses associated with repairing or cleaning any requisite damage incurred by public taxi vehicles due to the utilization of the services outlined in your account. This liability extends beyond damages resulting from “normal wear and tear and necessary cleaning (repair or cleaning)” in instances where the public taxi driver communicates the necessity for repair or cleaning and subsequently authorizes the request. Taxa, at its reasonable discretion, shall be entrusted with the execution of such repair or cleaning. Taxa reserves the right to facilitate payment of the reasonable cost of such repair or cleaning on behalf of the Driver using the payment method specified in your account. These amounts are transferred by Taxa to the relevant driver and are non-refundable.

The responsibility

Users are bound by Taxa’s laws and regulations, and their violation of any of them may result in fines and penalties imposed by Taxa. Taxa’s responsibility is to connect users and fares together and provide appropriate payment methods. Taxa is not responsible for collecting amounts for the public fare or the user unless it is proven that one of them has failed in his obligation. Taxa is not responsible for the loss of users’ personal belongings and compensation for them. In addition, Taxa provides a mechanism for delivering personal belongings by linking users with a driver to receive them.

Users’ responsibility

Users are obligated to comply with all terms and regulations established by the TGA, encompassing but not limited to:

– Ensuring that the number of passengers corresponds to the available seating capacity within the vehicle.

– Strict prohibition of smoking or consuming food inside the vehicle.

– Mandatory fastening of seat belts at all times during the trip.

– Prohibition of any tampering with the vehicle’s interior, exterior equipment, and stickers.

– Maintenance of cleanliness within the vehicle.

– Adherence to public morals and exhibiting respectful behavior towards the driver.

– Strict prohibition of any actions that violate the privacy of the driver or the authorized person in any manner.

– Knowledge of and selection of a known and secure destination.

– In the case of family taxis, ensuring the presence of at least one female adult among the passengers, or alternatively, male companions or children must occupy the front seat or remain inside the vehicle alone.

– Compliance with any additional obligations as stipulated by Taxa.

Evacuation responsibility disclaimer

Taxa explicitly disclaims all representations and warranties, whether expressed, implied, or statutory, that are not expressly articulated within these Terms. This disclaimer encompasses implied representations of merchantability, fitness for a particular purpose, and non-infringement. Furthermore, Taxa provides no assurances, warranties, or guarantees pertaining to the reliability, timeliness, quality, suitability, or availability of the Services or any part thereof. This includes disclaimers regarding potential interruptions in the Services, acknowledging that the operation of the Application may be subject to occasional technical errors. It is acknowledged that Taxa cannot ensure the continuous functionality of the Application at all times.

By utilizing the Services, you expressly agree that any risks arising from such use, including the procurement of goods associated with such use, are solely and entirely your responsibility.

Termination

Taxa has the right to immediately terminate the Agreement and block your access to our Platforms without prior notice if you violate any of the terms of this Agreement, or any applicable laws or regulations, or infringe and discredit Taxa, its users, directors and employees via social media or cause damage to the Taxa brand or Its reputation or business as determined by Taxa in our sole discretion. In the above-mentioned cases, we may prevent you from registering a new account and impose fines and penalties in accordance with Taxa’s internal regulations in a way that does not conflict with applicable regulations. We may also block your access to the Application immediately for the period of investigation, if we suspect a violation of the Agreement or fraudulent activity on your part. The access block will be removed as soon as the investigation denies the validity of the suspicions.

Users retain the option to cancel their accounts, contingent upon the condition that there are no outstanding amounts owed by them which remain unpaid.

Indemnification Agreement

By accepting these Terms, you commit to indemnify and absolve Taxa, along with its officers, directors, and employees, from any and all claims, losses, liabilities, and expenses, including but not limited to attorneys’ fees. This indemnification pertains to matters arising from your utilization of the Services or any breach of the stipulations outlined in these Terms.

Governing law

Unless explicitly stated otherwise in these terms, the governing law for these terms is exclusively the laws of the Kingdom of Saudi Arabia, and they shall be interpreted in accordance with such laws. Any disputes, disagreements, claims, or controversies arising from or in connection with these services or these terms are subject to the jurisdiction of the Saudi judiciary.
